MOSAÏKA TERMS OF SALE

1. GENERAL PROVISIONS

1.1. These Terms of Sale (the "Agreement") constitute a legally binding agreement between Sole Proprietor Tetiana Kravchuk, operating under the MOSAÏKA brand (the "Seller"), and any individual or legal entity (the "Customer") purchasing Products through the Website.

1.2. This Agreement governs the sale and purchase of Products offered through:

1.3. By accessing the Website, placing an Order, completing a purchase, or otherwise using the Website, the Customer confirms that they have read, understood, and agreed to be bound by these Terms of Sale.

1.4. If the Customer does not agree with any provision of this Agreement, the Customer should refrain from using the Website and placing Orders.

1.5. These Terms of Sale apply to all Customers regardless of nationality, place of residence, delivery destination, or payment method used.

1.6. The Seller reserves the right to amend, modify, update, or replace these Terms of Sale at any time without prior notice. Any amendments become effective upon publication on the Website unless otherwise stated.

1.7. The version of the Terms of Sale in force at the time an Order is placed shall govern the relationship between the Seller and the Customer.

1.8. Orders placed through the Website are subject to Product availability, payment verification, compliance checks, and acceptance by the Seller.

1.9. The Website is intended primarily for international sales and deliveries outside Ukraine. Delivery options, pricing, taxes, and payment methods may differ from those available through the Ukrainian version of the Website.

1.10. Nothing contained in these Terms of Sale shall affect any mandatory consumer rights granted under applicable laws that cannot be excluded or limited by contract.

2. DEFINITIONS

For the purposes of these Terms of Sale, the following definitions shall apply:

2.1. Website

The online store operated under the MOSAÏKA brand and accessible at:

including all pages, subpages, content, services, and functionality made available through the domain.

2.2. Seller

Sole Proprietor Tetiana Kravchuk, operating under the MOSAÏKA brand and offering Products for sale through the Website.

2.3. Customer

Any individual who has reached the age of majority under the laws applicable in their country of residence, or any legal entity, placing an Order through the Website.

2.4. Product

Any garment, accessory, detachable component, modular element, styling accessory, or other item offered for sale through the Website.

2.5. Order

A request submitted by the Customer through the Website for the purchase and delivery of one or more Products.

2.6. Modular Product

A Product forming part of MOSAÏKA's modular design system, intended to be combined with compatible garments or accessories in multiple styling configurations.

2.7. Detachable Accessory

A removable Product component designed to be attached to a compatible MOSAÏKA garment, including but not limited to detachable straps, feather accessories, decorative elements, and interchangeable styling components.

2.8. Limited Production Product

A Product manufactured in a limited quantity and which may not be restocked once sold out.

2.9. Payment Provider

Any third-party payment processing service used by the Seller, including but not limited to PayPal, Stripe, WesternBid, credit card processors, banks, and other authorized payment service providers.

2.10. Carrier

Any third-party courier, postal service, logistics company, freight forwarder, or transportation provider responsible for delivering Products.

2.11. Customs Charges

Any customs duties, import taxes, VAT, GST, brokerage fees, handling fees, regulatory fees, or other governmental charges imposed by authorities in the destination country.

2.12. Personal Data

Any information relating to an identified or identifiable natural person as defined under applicable data protection and privacy laws.

2.13. Force Majeure

Any circumstance beyond the reasonable control of the Seller, including but not limited to war, armed conflict, military action, sanctions, terrorism, natural disasters, pandemics, transportation disruptions, supplier failures, internet outages, power interruptions, customs restrictions, governmental actions, or similar events.

3. SUBJECT OF THE AGREEMENT

3.1. The Seller agrees to sell and deliver Products ordered through the Website, and the Customer agrees to purchase and pay for such Products in accordance with these Terms of Sale.

3.2. The Products offered through the Website include garments, modular garments, detachable accessories, styling components, and other fashion products developed and sold under the MOSAÏKA brand.

3.3. The Seller undertakes to provide information regarding the characteristics, materials, sizing, pricing, and availability of Products through the Website.

3.4. Product photographs, videos, lookbooks, styling imagery, and other visual content are provided for illustrative purposes only and may not exactly reflect the appearance of the delivered Product.

3.5. Certain MOSAÏKA Products contain handcrafted elements, natural fabrics, natural feathers, detachable components, or other materials that may result in minor variations in appearance, texture, shape, or finish. Such variations are considered normal characteristics of the Product and do not constitute defects.

3.6. The Customer acknowledges that modular Products and detachable accessories may be sold separately unless expressly stated otherwise in the Product description.

3.7. The Seller reserves the right to discontinue Products, modify Product specifications, update designs, replace materials with equivalent alternatives, or make technical improvements where necessary, provided that such changes do not materially affect the functionality of the Product.

3.8. The Seller reserves the right to refuse, suspend, or cancel any Order where:

  • Product availability cannot be confirmed;

  • payment verification cannot be completed;

  • fraudulent activity is suspected;

  • inaccurate information has been provided;

  • compliance concerns arise; or

  • fulfillment becomes impossible due to circumstances beyond the Seller's reasonable control.

3.9. The Customer acknowledges that ownership of intellectual property rights relating to MOSAÏKA Products, branding, photography, and Website content remains exclusively with the Seller and is not transferred through the purchase of Products.

4. PRODUCTS AND ORDERS

4.1. The Website contains information regarding the Products offered for sale, including Product descriptions, photographs, materials, sizes, styling options, prices, and availability.

4.2. To place an Order, the Customer shall select the desired Product(s), choose any available size, color, or configuration options, provide the required delivery and billing information, and complete the checkout process.

4.3. Before submitting an Order, the Customer may review, modify, or remove Products from the shopping cart.

4.4. An Order shall not be considered accepted until payment has been successfully authorized and the Seller has confirmed the Order.

4.5. The Seller reserves the right to request additional information or verification prior to accepting an Order where fraud prevention, payment security, compliance requirements, or unusual purchasing activity make such verification reasonably necessary.

4.6. Product availability displayed on the Website is provided for informational purposes only and may not always reflect real-time inventory levels.

4.7. Certain MOSAÏKA Products are manufactured in limited quantities and may become unavailable without prior notice.

4.8. Where a Product becomes unavailable after an Order has been placed, the Seller may:

  • offer a substitute Product;

  • delay fulfillment until the Product becomes available;

  • remove the unavailable Product from the Order;

  • cancel the affected portion of the Order; or

  • cancel the Order and issue a refund.

4.9. Product descriptions, photographs, and sizing information are provided in good faith. Minor inaccuracies, typographical errors, or technical errors shall not create liability for the Seller.

4.10. Certain Products may include detachable accessories, interchangeable components, or modular elements. Product descriptions specify which components are included in the purchase.

4.11. Detachable accessories are intended for use only with compatible MOSAÏKA Products identified in the relevant Product description.

4.12. The Customer is solely responsible for providing accurate and complete billing, shipping, and contact information.

4.13. The Seller shall not be liable for delays, failed deliveries, additional shipping charges, or other consequences resulting from inaccurate information provided by the Customer.

4.14. The Seller reserves the right to refuse or cancel Orders that appear to involve fraud, abuse, unauthorized resale activity, or violations of these Terms of Sale.

5. PRICING AND PAYMENT

5.1. All prices displayed on the Website are shown in United States Dollars (USD) unless otherwise expressly stated.

5.2. The Seller reserves the right to modify Product prices at any time without prior notice.

5.3. Price changes shall not affect Orders that have already been confirmed and paid for.

5.4. The total amount payable for an Order shall be displayed before payment is completed.

5.5. Payments may be processed through authorized third-party payment providers, including but not limited to:

  • PayPal;

  • Stripe;

  • WesternBid;

  • major credit and debit cards;

  • other payment methods available on the Website.

5.6. By placing an Order, the Customer confirms that they are authorized to use the selected payment method.

5.7. The Seller does not collect, store, or have access to full payment card information.

5.8. All payment transactions are processed through secure third-party payment providers.

5.9. An Order shall be considered confirmed only after successful payment authorization and receipt of payment.

5.10. The Seller reserves the right to refuse or cancel any Order if payment authorization fails or cannot be completed.

5.11. The Customer acknowledges that the final amount charged by their bank or payment provider may differ from the amount displayed on the Website due to:

  • currency conversion rates;

  • bank charges;

  • payment provider fees;

  • international transaction fees;

  • local taxes;

  • governmental charges.

5.12. The Seller shall not be responsible for any charges imposed by financial institutions, payment providers, card issuers, or governmental authorities.

5.13. Where required by applicable law, VAT, GST, sales tax, or similar taxes may be collected during checkout and included in the final Order total.

5.14. Payment processing times may vary depending on the payment method, banking institution, fraud-prevention procedures, or technical requirements.

5.15. The Seller reserves the right to request additional verification before accepting an Order where fraudulent activity is reasonably suspected.

5.16. The Customer agrees to contact MOSAÏKA prior to initiating a chargeback, payment dispute, or claim through a payment provider in order to allow the parties an opportunity to resolve the issue directly.

5.17. In the event of a pricing error caused by technical issues, typographical mistakes, system malfunctions, or currency conversion errors, the Seller reserves the right to cancel the affected Order and refund any amount paid.

5.18. Invoices, receipts, payment confirmations, and related documents may be provided electronically.

6. INTERNATIONAL SHIPPING

6.1. The Website is intended for international deliveries outside Ukraine.

6.2. Customers located in Ukraine may be redirected to:

where local pricing, payment methods, delivery options, and policies may differ.

6.3. The Seller ships Products worldwide to destinations where shipping services are available.

6.4. Shipping costs are calculated during checkout or communicated to the Customer before Order confirmation.

6.5. Estimated delivery times are provided for informational purposes only and do not constitute guaranteed delivery deadlines.

6.6. Delivery times may vary due to:

  • customs clearance procedures;

  • carrier operations;

  • public holidays;

  • weather conditions;

  • transportation disruptions;

  • force majeure events;

  • governmental actions;

  • circumstances beyond the Seller's reasonable control.

6.7. The Customer is solely responsible for all customs duties, import taxes, VAT, GST, brokerage fees, handling fees, and similar charges imposed by authorities in the destination country.

6.8. The Seller has no control over customs procedures and cannot predict the amount of customs charges that may apply.

6.9. Failure to pay customs duties, taxes, or other mandatory import charges shall not constitute grounds for cancellation of the Order or reimbursement of shipping costs.

6.10. Risk of loss and title to the Products pass to the Customer upon delivery of the shipment to the Carrier.

6.11. The Customer is responsible for providing accurate delivery information.

6.12. The Seller shall not be liable for delays, losses, or failed deliveries resulting from inaccurate shipping information.

6.13. Tracking information provided by the Carrier shall constitute evidence of shipment and delivery.

6.14. The Customer should inspect the shipment promptly upon delivery.

6.15. Visible shipping damage should be reported to the Carrier immediately and to MOSAÏKA within 48 hours of delivery.

6.16. The Seller shall not be liable for delays caused by customs inspections, customs authorities, postal operators, freight forwarders, or third-party logistics providers.

6.17. If a shipment is returned due to:

  • an incorrect address;

  • refusal to accept delivery;

  • failure to collect the shipment;

  • refusal to pay customs charges;

the Seller may deduct shipping costs, return shipping costs, customs charges, handling fees, and administrative expenses from any refund issued.

6.18. The Seller reserves the right to ship Products in separate packages where necessary for operational, inventory, or logistical reasons.

6.19. The Customer acknowledges that customs authorities may inspect, open, or repackage shipments. The Seller shall not be responsible for delays or alterations resulting from such inspections.

6.20. The Seller shall not be responsible for import restrictions, prohibited goods regulations, or other legal requirements applicable in the Customer's country.

6.21. Orders refused by the Customer after shipment may be subject to return shipping fees, customs charges, handling fees, and administrative expenses.

7. RETURNS AND EXCHANGES

7.1. The Customer may request a return or exchange of a Product within 14 (fourteen) calendar days from the date of delivery, subject to the conditions set forth in these Terms of Sale and applicable consumer protection laws.

7.2. To be eligible for a return or exchange, the Product must:

  • be unused and unworn;

  • retain its original condition;

  • contain all original tags, labels, packaging, accessories, and protective elements;

  • be free from stains, odors, cosmetic traces, perfume residues, damage, alterations, or signs of wear;

  • be returned in complete condition.

7.3. The Seller reserves the right to refuse a return or exchange if the Product does not satisfy the conditions specified in Section 7.2.

7.4. The following Products are not eligible for return or exchange unless required by applicable law:

  • customized Products;

  • personalized Products;

  • made-to-order Products;

  • gift cards;

  • Products identified as Final Sale;

  • Products specifically designated as non-returnable at the time of purchase.

7.5. Products used for:

  • commercial photography;

  • video production;

  • advertising campaigns;

  • influencer collaborations;

  • content creation;

  • public appearances;

  • editorial projects;

shall be considered used Products and shall not be eligible for return or exchange.

7.6. Minor variations in:

  • color;

  • texture;

  • fabric appearance;

  • handcrafted details;

  • natural feather characteristics;

  • styling configuration;

shall not be considered defects and shall not constitute grounds for return or exchange.

7.7. Certain MOSAÏKA Products contain natural feathers and other delicate materials. Minor feather shedding occurring during transportation, handling, storage, or normal use is considered a natural characteristic of the material and shall not be regarded as a manufacturing defect.

7.8. Where replacement feathers or spare components are supplied with a Product, the Customer is expected to use such replacement components before claiming a manufacturing defect relating to normal feather loss.

7.9. If a replacement Product is unavailable, the Customer may:

  • choose another Product and pay or receive the difference in price;

  • wait until the Product becomes available;

  • receive a refund in accordance with these Terms of Sale.

7.10. To initiate a return or exchange, the Customer shall contact:

  • Order number;

  • Customer name;

  • reason for return or exchange;

  • photographs or videos where relevant.

7.11. The Seller reserves the right to request additional photographs, videos, or information before approving a return request.

7.12. The Customer shall ship the returned Product within 14 calendar days after notifying the Seller of the return request.

7.13. Unless the Product is defective or incorrectly supplied, all return shipping costs, customs duties, taxes, brokerage fees, handling charges, and related expenses shall be borne by the Customer.

7.14. The Seller shall not be responsible for returned shipments that are lost, damaged, delayed, or held by customs authorities during return transit.

7.15. All returned Products are subject to inspection upon receipt before any refund, exchange, replacement, or store credit is issued.

7.16. Refunds shall be issued using the original payment method whenever reasonably possible.

7.17. Refunds shall be processed within 14 calendar days after:

  • receipt of the returned Product; or

  • receipt of acceptable proof of return shipment,

whichever occurs first, subject to applicable law.

7.18. The Seller may withhold a refund until the returned Product has been received and inspected.

7.19. Original shipping costs, customs duties, taxes, payment processing fees, and similar third-party charges are non-refundable unless required by applicable law.

7.20. Where a returned Product shows signs of handling beyond what is reasonably necessary to determine its nature, characteristics, fit, or appearance, the Seller may reduce the refund amount to reflect the diminished value of the Product where permitted by applicable law.

7.21. Products damaged as a result of:

  • improper use;

  • improper storage;

  • accidents;

  • unauthorized alterations;

  • unauthorized repairs;

  • failure to follow care instructions;

  • normal wear and tear;

are not eligible for return, exchange, or refund.

7.22. Nothing in this Section shall limit any mandatory consumer rights granted under applicable law.

8. RIGHTS AND OBLIGATIONS OF THE PARTIES

8.1. The Seller has the right to:

8.1.1. Refuse, suspend, or cancel any Order where the Customer violates these Terms of Sale, provides inaccurate information, engages in fraudulent activity, or otherwise acts in bad faith.

8.1.2. Modify Product prices, Product descriptions, Product availability, Website content, and these Terms of Sale at any time.

8.1.3. Cancel Orders and issue refunds where Products become unavailable, pricing errors occur, payment cannot be verified, or fulfillment becomes impossible.

8.1.4. Use third-party service providers, payment processors, carriers, fulfillment partners, logistics providers, and contractors to perform obligations under these Terms.

8.1.5. Communicate with Customers regarding Orders, deliveries, returns, product updates, customer service matters, and marketing communications where permitted by applicable law.

8.2. The Seller undertakes to:

8.2.1. Provide Product information to the best of its knowledge.

8.2.2. Process confirmed Orders in accordance with these Terms of Sale.

8.2.3. Handle Customer personal data in accordance with applicable privacy laws and the Privacy Policy.

8.2.4. Provide reasonable customer support regarding Orders, deliveries, returns, and exchanges.

8.3. The Customer has the right to:

8.3.1. Access Product information available on the Website.

8.3.2. Place Orders through the Website.

8.3.3. Receive Products corresponding to the confirmed Order.

8.3.4. Request returns, exchanges, or refunds in accordance with these Terms of Sale.

8.3.5. Withdraw consent to receive marketing communications at any time.

8.4. The Customer undertakes to:

8.4.1. Read and accept these Terms of Sale before placing an Order.

8.4.2. Provide accurate, complete, and up-to-date information.

8.4.3. Pay for Products and any applicable shipping, customs, taxes, duties, and fees.

8.4.4. Comply with all laws and regulations applicable in the destination country.

8.4.5. Inspect Products promptly upon delivery.

8.4.6. Use Products in accordance with MOSAÏKA care instructions.

8.4.7. Refrain from unlawful use of the Website.

8.4.8. Handle Products containing feathers, delicate fabrics, handcrafted elements, or detachable accessories with appropriate care.

8.4.9. Respect MOSAÏKA intellectual property rights and refrain from unauthorized reproduction, copying, distribution, or commercial exploitation of MOSAÏKA content, designs, branding, photography, or Product concepts.

8.4.10. Ensure compliance with import regulations and local laws applicable in their country.

9. LIMITATION OF LIABILITY

9.1. To the fullest extent permitted by applicable law, the Seller shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the purchase, delivery, use, inability to use, return, or exchange of Products.

9.2. The Seller shall not be liable for losses resulting from:

  • customs delays;

  • carrier delays;

  • transportation disruptions;

  • governmental actions;

  • internet outages;

  • payment provider interruptions;

  • force majeure events;

  • circumstances beyond the Seller's reasonable control.

9.3. The Seller shall not be responsible for currency conversion differences, banking fees, payment processing fees, chargebacks, fraud-prevention measures, or payment verification procedures imposed by third parties.

9.4. Product photographs, videos, and styling imagery are illustrative only. Variations resulting from screen settings, lighting conditions, photography, monitor calibration, or device displays shall not constitute defects.

9.5. Many MOSAÏKA Products are handcrafted or produced in limited quantities. Minor variations between Products shall not be considered manufacturing defects.

9.6. Minor feather shedding during transportation, storage, handling, or normal use is considered a natural characteristic of feather-based Products and shall not constitute grounds for liability.

9.7. The Seller shall not be liable for incompatibility between detachable accessories and garments not specifically designated as compatible MOSAÏKA Products.

9.8. Variations resulting from different styling configurations of modular Products shall not constitute defects.

9.9. The Seller shall not be liable for damage resulting from improper use, improper storage, unauthorized modifications, unauthorized repairs, accidents, or failure to follow care instructions.

9.10. The Seller does not guarantee that the Website will be uninterrupted, error-free, secure, or continuously available.

9.11. The Seller shall not be liable for acts, omissions, interruptions, delays, or failures of third-party service providers, including payment processors, carriers, internet providers, hosting providers, analytics providers, and marketing platforms.

9.12. To the fullest extent permitted by applicable law, the Seller's total liability relating to any claim shall not exceed the amount actually paid by the Customer for the Product giving rise to the claim.

9.13. Nothing in these Terms of Sale shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1. These Terms of Sale shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles.

10.2. The Seller and the Customer agree to make reasonable efforts to resolve any dispute, controversy, claim, or disagreement arising out of or relating to these Terms of Sale through good-faith negotiations before initiating formal legal proceedings.

10.3. Any Customer inquiry, complaint, claim, or request relating to an Order, Product, delivery, return, refund, payment, or other matter may be submitted to: care@mosaikawear.com

10.4. The Seller shall make reasonable efforts to review and respond to Customer inquiries and complaints within a reasonable period of time and in accordance with applicable legal requirements.

10.5. If a dispute cannot be resolved through negotiation, the parties may seek resolution through the competent courts of Ukraine, subject to any mandatory consumer protection rights granted under applicable law.

10.6. Nothing in these Terms of Sale shall limit any mandatory rights granted to consumers under applicable laws that cannot be waived, excluded, or restricted by contract.

10.7. If any provision of these Terms of Sale is found to be unlawful, invalid, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

10.8. The failure of either party to enforce any provision of these Terms of Sale shall not constitute a waiver of that provision or of any other rights under these Terms.

11. FORCE MAJEURE

11.1. The Seller shall not be liable for any delay, interruption, or failure to perform its obligations under these Terms of Sale where such delay or failure results from circumstances beyond the Seller's reasonable control.

11.2. Force majeure events include, but are not limited to, war, armed conflicts, military actions, terrorism, civil unrest, governmental restrictions, sanctions, embargoes, customs restrictions, natural disasters, epidemics, pandemics, transportation disruptions, labor disputes, power outages, internet failures, cyberattacks, supplier failures, shortages of materials, interruptions in manufacturing or logistics services, and any other circumstances beyond the Seller's reasonable control.

11.3. Where a force majeure event occurs, the Seller may suspend, postpone, modify, or cancel the performance of its obligations without liability.

11.4. The Seller will make reasonable efforts to inform affected Customers of significant delays and may extend delivery, production, or processing times accordingly.

11.5. If a force majeure event makes fulfillment impossible or commercially impracticable, the Seller may cancel the affected Order and issue a refund for any Products not yet shipped.

12. PRIVACY AND PERSONAL DATA

12.1. MOSAÏKA respects the privacy of its Customers and processes personal data in accordance with applicable data protection laws.

12.2. By using the Website and placing an Order, the Customer agrees that the Seller may collect, process, store, and use personal information necessary for order fulfillment, payment processing, delivery, fraud prevention, customer support, legal compliance, and Website improvement.

12.3. The Seller may share Customer information with trusted third-party providers, including payment processors, shipping carriers, logistics providers, hosting providers, analytics services, and governmental authorities where required by law.

12.4. The Website may use cookies, analytics tools, pixels, and similar technologies to improve functionality, analyze traffic, personalize content, and measure marketing performance.

12.5. The Seller does not sell Customer personal data to third parties.

13. INTELLECTUAL PROPERTY

13.1. All content available on the Website, including photographs, videos, graphics, text, product images, logos, trademarks, designs, product descriptions, and branding materials, is the property of MOSAÏKA and is protected by applicable intellectual property laws.

13.2. Customers may access Website content solely for personal, non-commercial use.

13.3. Without prior written consent from the Seller, no content may be copied, reproduced, distributed, published, modified, licensed, sold, or otherwise commercially exploited.

13.4. The MOSAÏKA name, visual identity, modular design concepts, detachable accessory concepts, product designs, and other distinctive brand elements may not be copied, reproduced, imitated, or commercially used without authorization.

13.5. Unauthorized use of Website content or MOSAÏKA intellectual property may result in legal action.
